Terms of Use for CredoAlert

CredoAlert Inc. ("we," "our," or "Company") provides crisis management and business continuity software-as-a-service (SaaS) solutions. These Terms of Use ("Terms") govern your access to and use of CredoAlert's platform ("the Service"). By registering an account or using the Service, you ("Customer") agree to comply with these Terms. If you do not agree, refrain from using the Service.

1. Acceptance of Terms

By creating an account or using CredoAlert’s Service, you confirm that:

  • You are authorized to bind your organization to these Terms
  • You have read, understood, and agree to these Terms, our Privacy Policy, and all applicable laws, including Québec’s **Act 25** and the **GDPR**
  • If acting on behalf of an entity, you warrant authority to accept these Terms on its behalf

Your use of CredoAlert constitutes acceptance of these Terms, our Privacy Policy, and any supplementary agreements. Continued use after updates binds you to revised terms.

2. Service Overview

2.1 Core Functionality

CredoAlert provides tools for:

  • **Multi-channel notifications** (SMS, email, voice calls) with dynamic variables (e.g., `%crisis%`, `%name%`)
  • **Contact management** via static/dynamic groups and CSV import
  • **Real-time dashboards** for delivery rates and response tracking

2.2 Subscription

  • Credits are consumed per SMS segment
  • Using ISO-8859-15 encoding, you can send up to 160 characters per SMS. If you exceed this limit, your message will be divided into several parts (up to 4), each containing 153 characters
  • Unused credits expire monthly
  • Subscription must be managed by the account owner

3. User Obligations

3.1 Account Management

  • Provide accurate registration information and maintain account confidentiality
  • You are responsible for all activities under your account, including alerts, contacts and notifications sent via SMS, email, API or telephone
  • CredoAlert reserves the right to suspend or terminate accounts for violations, fraudulent activities or prolonged inactivity

3.2 Prohibited Activities

You agree not to:

  • Resell, reverse-engineer or misuse API endpoints
  • Send illegal, abusive, fraudulent, harassing or defamatory content
  • Exceed contact limits or credit allocations without upgrading
  • Bypass security protocols or extract data
  • Use the Service for spamming, phishing or unauthorized data collection
  • Reverse-engineer, hack or disrupt Service infrastructure
  • Violate third-party rights (e.g., intellectual property, privacy)

3.3 Data Integrity

  • You warrant ownership or legal rights over all uploaded contact data
  • CredoAlert may suspend accounts for spam complaints or regulatory violations (e.g., CASL)

4. Payment & Billing

4.1 Fees

  • Fees for credits, subscriptions or premium features are displayed at purchase. Applicable taxes included
  • Refunds are discretionary except where required by law. Dispute billing errors within 30 days
  • Unused credits may expire according to account policies (e.g., **`credits_used`** and **`reset_date`** in your account)

4.2 Downgrades/Termination

  • Annual subscriptions are non-refundable
  • Free accounts may be terminated after 90 days of inactivity

5. Intellectual Property

  • All content, logos and software associated with CredoAlert are our property or that of our licensors, all rights reserved. CredoAlert retains all rights to software, trademarks and dashboards
  • User-generated content (e.g., alert messages, contact lists) remains your property, but you grant CredoAlert a non-exclusive license to process it to provide the Service

6. Termination

We may suspend or terminate accounts for:

  • Violations, non-payment or legal/regulatory compliance requirements
  • Non-payment exceeding 15 days
  • Violations of Sections 3.2 or 5
  • Upon termination, all licenses terminate and residual data may be deleted

7. Disclaimers & Liability

7.1 Service Availability

CredoAlert aims for 99.9% availability but does not guarantee uninterrupted service during force majeure events (e.g., internet provider outages).

7.2 Limitation of Liability

CredoAlert is not liable for:

  • Indirect, incidental or consequential damages (e.g., profit losses due to Service unavailability)
  • Data breaches, hacking or unauthorized account access
  • Content accuracy or third-party actions (e.g., failed notifications via Resend or Twilio)
  • Liability is capped to fees paid to CredoAlert during the preceding month

The Service is provided "as is", without warranty of reliability, availability or fitness for a particular purpose

8. Governing Law & Disputes

  • These Terms are governed by Québec laws
  • Disputes are resolved through arbitration under the **Québec Arbitration Act** in Laval, QC

9. Amendments

We reserve the right to modify these Terms with 30 days' notice via email or in-app notification. Continued use after modification implies acceptance.
